Terms of Sale

These Terms of Sale apply to every sale of goods by Scepter Commerce LLC(“Scepter Commerce,” “we,” “us”) to a business buyer (“you”). If a written agreement signed by both of us covers a sale, that agreement controls. Terms stated on our quote or invoice for a specific order control over these terms where they differ. Terms in your purchase order or other documents do not apply unless we agree to them in writing.

Business buyers only

We sell to businesses buying for resale or for use in their business. We do not sell to consumers for personal, family, or household use.

Orders

An order becomes binding when we confirm it in writing or ship it, whichever happens first. All orders are subject to product availability.

Prices, shipping, and delivery

Prices and shipping and delivery terms for each order are set out in the quote or invoice we issue for that order. If a quote or invoice does not cover a term you need, contact us before you order.

Payment

Payment is due in full before we ship, unless we agree otherwise in writing.

Title and risk of loss

Title to the goods and risk of loss pass to you when we hand the goods to the carrier, unless the invoice says otherwise.

Shortages and damage

Report any shortage or damage to us within 5 business days of delivery, with photos and the invoice number.

Returns

We accept returns only with our prior written authorization.

Sales tax and resale certificates

Taxes, if any, are stated on the quote or invoice. A buyer claiming exemption must provide a valid resale or exemption certificate before we invoice. You are responsible for the accuracy of any certificate you provide.

Warranties

The goods we sell are made by their manufacturers. Any product warranty is provided by the manufacturer.

Except as stated in writing on our quote or invoice, we sell the goods without warranties of our own. To the fullest extent permitted by law, we disclaim all implied warranties, including the implied warranties of merchantability and fitness for a particular purpose.

Your resale

• You are responsible for complying with the laws and the marketplace or retailer policies that apply to how you resell the goods.
• We cannot guarantee that any marketplace will approve you to sell a brand, category, or product, and we make no promise about any marketplace's gating, ungating, or brand-approval decision.

Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, including lost profits, arising from any sale. Our total liability for any claim related to an order will not exceed the price you paid for the goods that are the subject of the claim.

Events beyond our control

We are not responsible for delays or failures caused by events beyond our reasonable control, such as carrier delays, supplier shortages, severe weather, or government action.

Governing law

These terms and every sale are governed by the laws of the State of Michigan, including its Uniform Commercial Code, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Ingham County, Michigan.

Changes

We may update these terms by posting a new version here with a new date. The version posted when we confirm your order applies to that order.
